Corporate Legal Secretary

Job Summary

Our client is a mid-sized, Cleveland-based Business Law firm that is seeking a Corporate Legal Secretary to support its Business & Corporate Practice Groups. Experience in providing essential support for attorneys handling mergers, acquisitions, entity formations, and corporate filings is required.

Duties/Responsibilities:
  • Draft, review, and edit legal documents, including contracts, agreements, resolutions, and corporate filings.
  • Assist in the preparation of documents for mergers and acquisitions, joint ventures, and other corporate transactions.
  • Assist with all aspects of commercial real estate transactions, including due diligence, document preparation, and closing activities.
  • Conduct research on property titles, zoning regulations, and other relevant legal issues.
    Prepare and file various real estate-related documents, such as deeds, mortgages, and lease agreements.
  • Working knowledge of filing procedures, requirements, and e-filing with the Secretary of State office, in addition to federal, state, and local courts.
  • Schedule appointments, including meeting invites, video conference details, meal requests, and maintenance of attorney calendars.
  • Support attorneys in all stages of corporate transactions, including due diligence, closings, and post-closing integration.
  • Assist with billing and time entry as needed.
  • Coordinate with external counsel, clients, and other parties involved in transactions.
  • Maintain organized and accurate paper and electronic files.
  • Other duties as assigned.

Required Skills/Abilities:
  • Strong knowledge of corporate law and regulatory requirements.
  • Strong knowledge of real estate law and procedures.
  • Excellent organizational and time management skills.
  • Proficiency in legal research tools and software.
  • Strong written and verbal communication skills.
  • Ability to work independently and as part of a team.
  • High level of attention to detail and accuracy.
  • Proficiency in Microsoft Office Suite and legal document management systems; NetDocs experience is a plus.
  • The ability to lift a minimum of ten pounds.

Education and Experience:
  • High School Diploma.
  • A minimum of three years of Corporate & Real Estate experience.
